Terms of Service

1. Acceptance of terms

By using our website or our services, you accept these Terms of Service. If you do not agree, please do not use them.

A signed proposal or agreement for your project applies together with these terms. If the two differ, the signed proposal wins.

2. Our services

Dexon Sync Technologies LLP provides UI and UX design, branding, web and app development, and AI assistants and automation for businesses. We also advise on how to make a website easy for AI tools to read. The scope of each project is set in a written proposal.

3. Proposals, scope and changes

Prices are starting points until we send a written quote. Prices are in US dollars. Clients in India are quoted in rupees plus 18% GST. Indian GST is not charged on services exported to clients outside India.

If the scope changes, we quote the change before we do it. Nothing is added to your invoice without your written approval.

4. Payment

  • AI setup: 50% to start and 50% at launch.
  • Monthly care and plans: billed monthly in advance.
  • Design and development: by milestones, usually 30% to start, 30% at design approval, 30% at build complete and 10% at launch.
  • Branding: one fixed cost, agreed before we start and split evenly.

The first payment on every project is a deposit that reserves your slot. It is not refundable once work begins.

A late milestone payment pauses the work and may carry a late fee. WhatsApp message fees, AI usage fees and software subscriptions are billed to your own accounts at cost.

5. Ownership and files

Ownership of the final deliverables passes to you when the final invoice is paid. Until then we hold the source files and the rights in the work.

Accounts, domains, hosting and repositories are placed in your name at handover. We show your project in our portfolio or in a case study only with your written permission.

6. Your responsibilities

You provide accurate information, the materials we need and timely feedback. If feedback is late, the timeline moves by the same number of days.

You confirm that you have the right to use the content you give us. For AI assistants, you approve what the assistant is allowed to say and you are responsible for the facts you give us.

7. Revisions

Every package includes 2 concepts and 2 rounds of revision unless the proposal says otherwise. Extra work is quoted before we start.

8. AI services

  • We do not promise rankings, sales or savings. Nobody can guarantee a place in an AI answer.
  • An assistant can make mistakes. We test it before launch and correct wrong answers you report, within the times in your proposal.
  • Assistants do not give medical, legal or financial advice, and you may not set them up to do so.
  • AI tools and messaging platforms such as WhatsApp change their rules and prices. We tell you when a change affects your setup.

9. Monthly care and plans

Monthly care is month to month. You can cancel with 30 days notice. The AI operations plan has a 3 month minimum, then you can cancel with 30 days notice.

10. Data protection

When we run an assistant for you, you decide why and how the data is used and we process it on your instructions. See our Privacy Policy and How we handle your data. We sign a data processing agreement on request.

11. Confidentiality

Each side keeps the other's non public information private and uses it only for the project.

12. Limits on liability

Dexon Sync Technologies LLP is not liable for indirect, incidental, special or consequential damages from the use of our services. Our total liability is limited to the amount you paid for the specific service in question.

13. Ending the work

Either side can end the work with written notice. On ending, payment is due for all work completed up to that date. We hand over completed work once those payments are made.

14. Governing law

These terms are governed by the laws of India. The courts at Surat, Gujarat have jurisdiction.
